Emtek by Phillips Scott - Terms and Conditions

These Terms and Conditions apply to all purchases of Emtek products sold by Phillips Scott. By placing an order, you agree to the terms below.


1. Reseller Status

Phillips Scott resells Emtek products. All Emtek products offered through Phillips Scott are subject to Emtek rules and policies in addition to these Terms and Conditions.

2. Emtek CA Fee

Certain orders may incur an Emtek CA Fee. When applicable, this fee will be clearly itemized on your order and displayed at checkout.

3. Payment Terms

  • Standard terms. Unless otherwise agreed in writing, all orders are charged in full at checkout.
  • Extended terms. If Phillips Scott has expressly granted Net 15 or Net 30 terms, the order will be invoiced at confirmation and the invoice will be due 15 or 30 days after the confirmation date, based on the approved payment terms.
  • Authorization. You authorize Phillips Scott to charge the payment method on file for all amounts due, including approved fees that apply under these terms.
  • Non payment. Unpaid balances may result in holds on future orders, late fees, and collection activity at Phillips Scott discretion.

4. Delivery Policy

  • Commercial delivery. Delivery to a verified commercial address is free of charge.
  • Residential delivery. Delivery to a residential address will incur delivery fees.
  • Misclassification. If a delivery address is selected as commercial but determined to be residential, Phillips Scott may, at its sole discretion, add the applicable delivery fee and charge the credit card on file.
  • Timing. Delivery timelines are provided by carriers and are estimates. Phillips Scott is not responsible for carrier delays, missed appointments, limited access, re delivery, or related costs.

5. Customer Responsibility

  • Order accuracy at checkout. You are responsible for the accuracy of all order details before submission, including product selections, functions, finishes, quantities, handing, and the delivery address.
  • Review of emailed confirmation. An order confirmation is emailed to the address on file after you place an order. You must promptly review the emailed confirmation and verify that all details are correct.
  • Immediate notice of corrections. If a correction is needed, you must notify Phillips Scott immediately so adjustments can be made prior to processing. If notice is not timely, additional costs, delays, or inability to modify the order may result. Phillips Scott is not responsible for such outcomes.
  • Customer entered information. Orders are processed according to information you provide. If information is inaccurate or incomplete at entry, or if discrepancies are not reported after the emailed confirmation, you assume responsibility for resulting costs and timing.
  • Address accuracy. You must provide a complete and accurate delivery address. Mis shipments, delays, and extra costs arising from incomplete or incorrect addresses are the customer responsibility.
  • Inspection upon receipt. Upon receipt of any shipment, you are responsible for promptly inspecting all packages and items for damage, shortages, incorrect items, missing parts, incomplete items, or other discrepancies. Because Emtek only allows such issues to be reported within 30 days of receipt, any claim relating to shipping damage, shortages, incorrect items, missing parts, incomplete items, or similar discrepancies must be reported to Phillips Scott within 30 days of delivery.
  • Required claim documentation. For any claim relating to damage, shortage, incorrect items, missing parts, incomplete items, or similar discrepancies, you must provide, at minimum, clear photographs of each box received, clear photographs of the full original contents of each box as received, a written list of the contents received, and a written list of the contents expected. Phillips Scott may request additional information or images as needed to evaluate or submit the claim.
  • Failure to timely inspect or document. If you fail to promptly inspect the shipment, fail to preserve the original packaging and contents, fail to provide the required documentation, or report the issue after the applicable reporting period, Phillips Scott may be unable to pursue the claim with Emtek or the carrier, and Phillips Scott will have no liability for the denied, reduced, or unavailable claim.

6. Governing Rules

For all matters not explicitly covered in these Terms and Conditions, Phillips Scott follows Emtek rules and policies.

7. Limitation of Liability

To the fullest extent permitted by law, Phillips Scott is not responsible for customer errors, omissions, or oversights during order entry, confirmation review, shipment inspection, or claim reporting. Phillips Scott is not responsible for delays or damages caused by carriers, manufacturers, or third party providers, nor for claims that cannot be processed because the customer failed to provide timely notice, preserve packaging, or provide required documentation. Phillips Scott will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost business, delay damages, labor costs, installation costs, removal costs, reinstallation costs, or other third party costs related to the purchase, delivery, return, or use of Emtek products. To the fullest extent permitted by law, Phillips Scott total liability arising from any order or claim will not exceed the amount actually paid to Phillips Scott for the specific affected item or items giving rise to the claim.

8. Product Information and Compatibility

  • Finish and image representation. Finishes and images are for general reference and may vary due to screen settings, lighting, or production batches.
  • Site conditions. It is the customer responsibility to confirm door prep, backset, keying requirements, handing, latch type, and compatibility with hinges and locks before ordering.
  • Substitutions. Any substitutions or revisions requested after confirmation are subject to Emtek rules and may affect pricing and lead times.

9. Pricing, Availability, and Errors

Prices, fees, and availability are subject to change without notice. Phillips Scott reserves the right to correct obvious errors in pricing or product data and to cancel or adjust orders that rely on such errors after notice to the customer.

10. Changes After Confirmation

Requested changes after order confirmation are not guaranteed. If a change is possible under Emtek rules, additional costs or time may apply. Phillips Scott may charge the payment method on file for approved adjustments that are permitted under these terms.

10A. Inspection, Claims, and Returns

  • Claims window. Any claim for damage, shortage, incorrect items, missing parts, incomplete items, or similar discrepancies must be reported within 30 days of receipt. Claims reported after that period may be denied.
  • Condition of claim submission. Claims are subject to Emtek and, where applicable, carrier review and approval. Submission of a claim does not guarantee credit, replacement, or refund.
  • Return authorization. Returns are not accepted unless approved in advance. Any approved return remains subject to Emtek return rules and eligibility requirements.
  • Restocking fee. Approved returns are subject to a 25% restocking fee. If Emtek receives and accepts the returned item, the refund will be limited to 75% of the amount paid for the returned item, less any non refundable shipping, handling, rush, special order, or other applicable charges.
  • Return condition. Returned items must be sent back in original condition, complete, and with original packaging unless otherwise approved in writing. Items that are used, installed, damaged after delivery, incomplete, altered, or not eligible under Emtek rules may be refused or may receive reduced credit.

11. Address Classification and Verification

Commercial versus residential classification may be verified using carrier tools and third party databases. Phillips Scott determination will be used for fee assessment. Liftgate, inside delivery, and special handling services are not included unless expressly stated on the order.

12. Communications and Notices

Order confirmations, invoices, and notices will be sent to the email address on file. If you do not receive the emailed confirmation shortly after checkout, contact Phillips Scott so the confirmation can be re sent. Your continued processing or lack of timely response may be treated as approval of the confirmation details.

13. Modifications

Phillips Scott may update these Terms and Conditions at any time. Updates apply to orders placed after the published effective date of the revised terms.

14. Miscellaneous

  • Severability. If any provision is found invalid, the remaining provisions remain in effect.
  • No waiver. A delay or failure to enforce any provision does not waive that provision.
  • Headings. Section headings are for convenience and do not affect interpretation.
